1. Purpose

The Parties wish to discuss and evaluate a business concept known as "BoerWol", including but not limited to software, branding, operational processes, financial models, and related information ("the Purpose").

2. Definition of Confidential Information

"Confidential Information" includes, but is not limited to:

• Business plans and strategies
• App designs, wireframes, databases, and source code
• Logos, branding, marketing plans
• Financial data and pricing models
• Client lists and supplier information
• Trade secrets and technical processes

Confidential Information may be oral, written, digital, or visual.

3. Obligations of the Receiving Party

The Receiving Party agrees to:

• Keep all Confidential Information strictly confidential
• Not disclose the information to any third party without written consent
• Not use the information for personal or competitive advantage
• Protect the information with reasonable care

4. Exclusions

Confidential Information does not include information that:

• Is already public knowledge
• Was already known before disclosure
• Is received lawfully from another source
• Is required by law or court order to be disclosed

5. Duration

This Agreement remains in effect for 3 years from the signing date, or until the information becomes publicly available through no fault of the Receiving Party.

6. Ownership

All Confidential Information remains the property of the Disclosing Party.

No licence or ownership rights are granted under this Agreement.

7. Return or Destruction

Upon request, the Receiving Party must return or destroy all confidential materials, including digital copies.

8. Breach

Any breach of this Agreement may result in legal action, damages, and injunctive relief.

9. Governing Law

This Agreement shall be governed by the laws of South Africa.
